Eligibility and account use

Access to Ubuntu Exchange is limited to persons and organizations that provide accurate onboarding information, satisfy applicable identity and risk checks, and maintain lawful authority to use the services requested. We may request additional information at onboarding, before execution, or during account reviews whenever risk, volume, or regulatory context requires it.

Account holder obligations

You are responsible for keeping credentials, contact details, and submitted information current and secure. Information that is incomplete, misleading, or inconsistent with our controls may result in delayed access, restricted use, or closure of the account relationship.

Use limitations

Accounts may not be shared, transferred, or used on behalf of another party without approval through the appropriate institutional or commercial review channel. We may decline or limit use where the account posture no longer matches the activity presented.

Platform scope

Ubuntu Exchange may provide access to digital asset activity, OTC execution support, payout infrastructure, and bill-settlement functionality. Product availability, supported corridors, transaction thresholds, review intensity, and service windows may vary by account profile, jurisdictional considerations, partner availability, and internal control requirements.

Public website content should not be interpreted as a standing promise that every feature, asset, corridor, or transaction type is continuously available to every user. We reserve the right to add, restrict, suspend, or discontinue individual services where operational, regulatory, or risk conditions require it.

Quotes, fees, and execution

Rates, pricing, fees, settlement timing, and execution terms may change based on market conditions, liquidity, infrastructure availability, counterparty posture, and account classification. Any quotation or indicative pricing shown before confirmation is informational until the relevant transaction flow or desk process confirms execution.

Indicative pricing

Displayed or communicated figures may change between inquiry and execution. Where a quote expires, becomes stale, or is no longer supportable, the transaction may require repricing or further confirmation.

Fees and deductions

Applicable costs may include spread, operational charges, network costs, payout costs, partner deductions, or other transaction-specific charges reasonably connected to the service requested.

Restricted activity

The platform may not be used for unlawful conduct, sanctions evasion, deception, market abuse, fraud, proceeds-of-crime placement, or any activity that conflicts with our compliance posture or the obligations of our service partners.

  • Users must not impersonate another person or entity, submit altered or misleading records, or conceal beneficial ownership where disclosure is required.
  • Attempts to bypass onboarding, transaction limits, monitoring controls, or internal review processes are prohibited.
  • We may suspend review, reject execution, or terminate access where behavior creates operational, legal, fraud, or reputational risk.

Risk disclosures

Digital asset and settlement activity carries market, liquidity, operational, technology, partner, and regulatory risk. Users are responsible for assessing whether the services offered by Ubuntu Exchange are suitable for their own financial position, risk appetite, and intended use case.

Execution and settlement risk

Network congestion, partner downtime, counterparty limits, verification requirements, or compliance review may delay, re-route, or decline a transaction even after initial intent has been expressed.

No public investment advice

Nothing on the site, in public-facing copy, or in onboarding materials should be treated as individualized investment, tax, legal, or financial advice.

Suspension and termination

Ubuntu Exchange may suspend, restrict, or terminate access where necessary for security, compliance, fraud prevention, operational resilience, partner obligations, or legal requirements. We may also pause individual transactions or entire account relationships while information is reviewed.

Where appropriate, account restrictions may remain in place until requested clarification, supporting documents, or internal review steps are completed to our satisfaction.

Changes to terms

We may update these terms when products evolve, internal controls change, service providers change, or legal and regulatory expectations change. The current version published on this page supersedes earlier public versions.

Continued use of the platform after an update constitutes acceptance of the revised terms, except where a different form of notice or acknowledgment is required for a particular service or account relationship.

Governing law

These terms are framed with reference to the laws and operating environment of Nigeria and should be interpreted in a manner consistent with the lawful operation of Ubuntu Cygnet Digital Limited and its public service posture.
